Terms of Service

The Service is intended for businesses. You must be at least the age of majority in your jurisdiction and have the authority to bind the business you represent. When you create an account you agree to:

• provide accurate, current, and complete registration information;
• keep your password confidential and secure;
• be responsible for all activity that occurs under your account, including activity by staff and workers you invite to your store; and
• notify us promptly of any unauthorized use of your account.

ConsignPilot provides tools for managing consignment operations, including consignor records, inventory, drop-offs, sales, ledgers, payouts, and optional integrations with point-of-sale and e-commerce systems. We may add, change, or remove features from time to time as we improve the Service.

Access to the Service requires a paid subscription after any free trial period. By subscribing you agree that:

• billing is processed by Stripe on a recurring basis according to the plan and billing interval you select;
• free trials convert to a paid subscription only if you add a payment method and subscribe; access may be suspended when a trial expires;
• fees are non-refundable except where required by law or expressly stated otherwise; and
• we may change our pricing with reasonable advance notice, effective at your next renewal.

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

You retain ownership of the data you and your team enter into the Service, including consignor records, inventory, and sales data (“Store Data”). You grant us a limited license to host, process, and display Store Data solely to provide and improve the Service. You are responsible for the accuracy and lawfulness of Store Data, including obtaining any consents required to enter personal information about your consignors and customers. Our handling of personal information is described in our Privacy Policy.

You agree not to:

• use the Service for any unlawful, fraudulent, or infringing purpose;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the Service, including by transmitting malware or placing unreasonable load on our infrastructure;
• copy, resell, sublicense, or reverse engineer the Service except as permitted by law; or
• use the Service to send spam or unsolicited communications.

The Service can connect to third-party platforms such as Square, Shopify, Etsy, and Stripe. Your use of those platforms is governed by their own terms and policies, and we are not responsible for their services. You authorize us to exchange data with the integrations you connect as needed to provide the Service.

If you publish to Etsy, you remain responsible for confirming that each item and listing complies with Etsy’s seller, creativity, vintage, craft-supply, intellectual-property, photography, and other marketplace rules. ConsignPilot does not determine or guarantee marketplace eligibility.

The Service, including its software, design, and branding, is owned by KitStack and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights in the Service are granted to you. Feedback you provide may be used by us without restriction or obligation.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service or others. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers, and limitations of liability) will survive.

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data synced from third-party platforms will always be accurate or complete.

To the maximum extent permitted by law, KitStack will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to your use of the Service. In no event will our total liability for all claims exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

You agree to indemnify and hold harmless KitStack from claims, damages, and expenses (including reasonable legal fees) arising from your Store Data, your use of the Service in violation of these Terms, or your violation of applicable law or the rights of a third party.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Canada and the province in which KitStack is based, without regard to conflict-of-laws principles. The courts located there will have exclusive jurisdiction over disputes arising from these Terms or the Service, except where applicable law provides otherwise.
